Agreement with Wietersdorfer
Buzzi Unicem SpA entered today into an important strategic agreement with Wietersdorfer, a major Austrian group operating in the cement and building materials industry.
By virtue of this agreement Buzzi Unicem SpA shall transfer to a subsidiary of Wietersdorfer (w&p Cementi SpA) the cement plant located in Cadola (Belluno), with an annual production capacity of 0.3 million tons, and Wietersdorfer shall also have the right, to be exercised within five years, to acquire, without additional payment, the Travesio (Pordenone) cement plant with an annual production capacity of about 0.4 million tons, for a total consideration of about 22 million euro.
At the same time, Buzzi Unicem SpA concluded an agreement to purchase from Wietersdorfer a 25% interest in the share capital of both w&p Cementi SpA and Salonit Anhovo Gradbeni Materiali d.d. (Slovenia), belonging to the same group, for a total consideration of about 22 million euro.
Currently w&p Cementi SpA owns a grinding facility in San Vito al Tagliamento (Pordenone) with an annual production capacity of 0.3 million tons, while Salonit Anhovo Gradbeni Materiali d.d. operates a full cycle cement plant in Slovenia, recently refurbished and with an annual production capacity of about 1.3 million tons.
Buzzi Unicem expects the arrangement just reached to assure important advantages to its production and sales structure, like:
• Improved procurement logistics thanks to a larger presence in the area
• Technological integration between the two groups aimed at the improvement and development of new products intended for a market in constant evolution
• Strengthened and more widespread assistance and services
The history and the international dimension of the two companies thus represent a guarantee of continuity and future development in the North Eastern region of Italy.
Execution of the agreement is scheduled for 30 June 2014.
